KODAK HIRES LAW FIRM FOR RESTRUCTURING ADVICE, IS THE END NEAR FOR THIS 131-YEAR OLD COMPANY, OR IS BANKRUPTCY NEXT?

Eastman Kodak Co. has hired law firm Jones Day for restructuring advice as it faces growing concerns from investors over its turnaround prospects, but the imaging company said it had no intention to file for bankruptcy protection.

The move signals Kodak is intensifying efforts to ensure it has the financial wherewithal to complete a difficult strategic and financial revamp. Shares in the 131-year-old company have tumbled following Kodak's disclosure last week that it pulled $160 million from a credit line.

That drawdown heightened concerns about the company's cash flow and triggered downgrades of its credit rating. On Friday, Kodak's bonds plunged and its shares fell 54%, or 91 cents, to 78 cents, after The Wall Street Journal reported the company had hired restructuring advisers.

After markets closed, Kodak issued a press release confirming it had hired Jones Day and said it was "committed to meeting all of its obligations and has no intention of filing for bankruptcy." Kodak said it was exploring all its options.

While Jones Day's restructuring lawyers have advised major companies on bankruptcies, they also advise clients on a range of other paths for improving their finances. Those possibilities include raising new debt or equity, and asking creditors to forgive debt in exchange for ownership stakes in a company.

 

Kodak shares lost more than half their value today after the company said it had hired law firm Jones Day for restructuring advice as it faces growing concerns from investors over its turnaround prospects. Mike Spector has details on The News Hub.

Kodak, whose operations burned $847 million in the first half of the year, had $957 million in cash on June 30. It aims to have $1.6 billion to $1.7 billion on hand at the end of the year, but that target presumes successful asset sales, patent income and improvements in the company's businesses.

Kodak Chief Executive Antonio Perez sought to ease employees' concerns this week at a town hall meeting broadcast to the company's nearly 19,000 employees world-wide. The CEO told employees the company had no intention of filing for bankruptcy protection at that time.

Bond investors are less sanguine, trading Kodak debt at levels that indicate a high risk of default. One bond issue maturing in 2013 traded at 26 cents on the dollar Friday evening, down from about 43.5 cents earlier in the day and 76.5 cents last week.

Kodak, based in Rochester, N.Y., has already hired investment bank Lazard Ltd. to advise it on selling a trove of patents, an auction the company deems critical for raising cash to reinvent itself.

Investors have become impatient with the drawn out and expensive turnaround, heightening the pressure on Mr. Perez to show results. The company has posted only one profitable year since he became CEO in 2005. He says it will return to profitability in 2012. The board isn't considering replacing Mr. Perez at this time, two people familiar with the matter said.

The one-time blue chip suffered with the transition to digital cameras and lost much of its traditional film business to foreign competitors. Intellectual property licensing and lawsuits have largely funded Kodak's cash needs but stalled earlier this year, prompting Kodak to decide to sell 1,100 of its digital patents.

Moody's Investors Service and Fitch Ratings each downgraded Kodak's debt deeper into junk-bond territory this week. Fitch lowered Kodak's rating to CC from CCC, a rating it said "signifies that default of some kind appears probable."

Jones Day's best-known restructuring lawyer, Corinne Ball, represented Chrysler on its historic government-brokered bankruptcy, and is currently advising Twinkie maker Hostess Brands Inc. on restructuring options.

COMMENTARY:  Think of Kodak and you immediately think of cameras and film processing, however this is a company that since its creation in 1892 has been at the forefront of business and science, diversifying itself to be at the cutting edge of medical and space technology, and even helping on the Manhattan Project during World War II. Plus, how many non-studio companies also have nine Academy Awards (Oscars) to their name?                                                                                           

Since George Eastman founded the company in the late 19th century as the Eastman Kodak Company, the company has gone through multiple changes, as well as being responsible for some of the photographic industry's most important innovations. Photographic paper designed to capture X-Rays, transparent film rolls, microfilm systems - all devised by Kodak's staff and all representative of the company's wide-ranging influence.

Kodak's stock price has taken a tremendous beating, plummeting from a 52-week high of 5.95 on December 22, 2010 to 3.70 on May 20, 2011 and a low for the year of .64 on September 30, 2011.   On Monday, October 3, 2011, Kodak stock rebounded by 0.56 points to to end the trading day at 1.34 per share.  The rebound apparently is the result of the news of the hiring of Jones Day and restructing plan.

Kodak had current assets and current liabilities of $3.1 billion and $2.2 billion respectively for the second quarter ending June 30, 2011, more than sufficient working capital to payoff current liabilities, but the company's bond rating has really hurt the market price of its outstanding bonds. If you are a Kodak bondholder, and bought at par, you will be in a world of hurt if you cashout now.

Kodak's revenues have declined from $10.3 billion on December 31, 2007 to $7.187 billi0n on December 31, 2010.  Kodak has generated net losses the last three years.   That pattern continues into 2011, with declines in revenues and more red ink for Q1 and Q2 2011.

Kodak's balance sheet has also taken a beating with declines in total stockholders equity for four straight years. The company has an inverted balance sheet (net equity deficit) the last two full years.   Long-term debt has remained relatively unchanged over the last four previous years.

The company's acid test, or ratio of cash and marketable securities to its current liabilities is less than 1, which is not good news, no wonder the company is being beaten to death by the bond rating agencies, its bondholders and stockholders.  Taking on additional longterm debt is out of the question at this point.

CEO Perez has his work cutout for him.  He needs to develop strategies to improve revenues, profitabililty, cashflow and its balance sheet in order to restore the confidence of its bond rating service and bondholders and investors.  Getting the company to the breakeven point is tantamount. I am not very confident that Kodak can raise enough cash from the sale of patents to improve its liquidity and balance sheet position.  As a going concern, those assets are not producing much.

Kodak's digital consumer imaging group and film, photo finishing and entertainment group have registered the largest declines in revenues between 2010 and 2011:  

• Digital Consumer Imaging Group - For the six months ending June 30, have declined from $1.322 billion in 2010 to $734 million in 2011--a decline of $588 million or 44.5%.  
• Film, Photo Finishing and Entertainment Group - For the six months ending June 30, have declined from $890 million in 2010 to $763 million in 2011--a decline $97 million or 10.9%.  

Kodak must determine the reasons for those drastic declines and take appropriate action.  Kodak entered the digital era very late, and it is now paying a heavy price for that mistake.  This is where I would spend most of my time.

Kodak needs to reduce its expenses, especially its payroll and selling expenses significantly if it is to survive over the longterm.  A merger with a stronger partner is a distinct possibility, but it needs to move on this quickly before the end of the year approaches and it piles on even more red ink. Investors and bondholders are crying for action.
